The legal rules for using our site and services
These Terms of Service ("Terms") govern your access to and use of wellbuilt.systems (the "Site") and the operational intelligence systems and related services provided by Wellbuilt Systems ("Wellbuilt," "we," "us"). Wellbuilt Systems is operated as a service of Wellhaircare LLC, a California limited liability company. By accessing the Site or engaging Wellbuilt for services you agree to these Terms. If you do not agree, do not use the Site or our services.
1. About Wellbuilt
Wellbuilt Systems is operated by Wellhaircare LLC, a California limited liability company, founded and run by Ian Tidwell, with a business address at 2108 N St, Ste N, Sacramento, CA 95816, United States. Wellbuilt builds and operates dedicated AI-driven operational systems for founder-led businesses.
2. Eligibility
The Site and our services are intended for businesses and the people who operate them. By using the Site you represent that you are at least 18 years old and have the legal capacity to enter into a binding agreement. If you are using the Site or services on behalf of a company or other entity, you represent that you have authority to bind that entity to these Terms.
3. The Site
The Site provides information about Wellbuilt's services and a way to schedule an introductory call. You may use the Site for lawful informational purposes. You may not:
- Use the Site in any way that violates applicable law.
- Attempt to gain unauthorized access to the Site, its servers, or related systems.
- Probe, scan, or test the vulnerability of the Site or attempt to bypass security measures.
- Use the Site to transmit malware or any other harmful code.
- Scrape, copy, or republish substantial portions of the Site without our written permission.
- Misrepresent your identity or impersonate any person or entity.
4. Client services
Wellbuilt's client engagements are governed by a separate written services agreement (a Statement of Work or equivalent) between Wellbuilt and the client. That agreement sets out scope, fees, timelines, deliverables, confidentiality, ownership of work product, data handling, and any service-level commitments. In the event of a conflict between these Terms and a signed services agreement, the signed services agreement controls for that engagement.
Wellbuilt does not provide legal, tax, financial, medical, or other professional advice. Outputs of the systems we deploy are tools to support human decision-making by the client; the client remains responsible for the decisions they make and the actions they take based on those outputs.
5. Client responsibilities
Clients are responsible for:
- Providing accurate information and lawful access to the data sources connected to the deployed system.
- Holding all rights, consents, and authorizations needed for Wellbuilt to access and process that data.
- Reviewing recommendations and approving any actions before they are taken on behalf of the client by the system, where the engagement requires human approval.
- Complying with the terms of service of any third-party platforms (e.g., Google, Shopify, Klaviyo) connected to the deployed system.
- Maintaining the security of credentials they share with Wellbuilt and notifying us promptly of any suspected compromise.
6. Intellectual property
The Site, including its design, text, graphics, and software, is owned by Wellbuilt or its licensors and is protected by copyright and other intellectual property laws. Except as expressly permitted, you may not copy, modify, distribute, or create derivative works from the Site.
Ownership of work product created during a client engagement is governed by the signed services agreement for that engagement. Absent specific terms in that agreement, Wellbuilt retains ownership of underlying frameworks, tooling, and know-how, and grants the client a license to use the deliverables for the client's own business purposes.
7. Third-party services
The Site and our deployed systems integrate with third-party services (for example, Google APIs, Cloudflare, Anthropic, Calendly, Klaviyo, Shopify). Your use of those services is subject to the third party's own terms and privacy policies. Wellbuilt is not responsible for the availability, accuracy, or content of third-party services.
8. Disclaimers
The Site and our services are provided on an "as is" and "as available" basis. To the maximum extent permitted by law, Wellbuilt disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. Wellbuilt does not warrant that the Site will be uninterrupted or error-free, that defects will be corrected, or that the Site or the servers that make it available are free of viruses or other harmful components.
AI-generated outputs from systems Wellbuilt deploys are probabilistic. They can contain errors, omissions, or biases. They should not be treated as definitive.
9. Limitation of liability
To the maximum extent permitted by law, Wellbuilt Systems, Wellhaircare LLC, and their respective affiliates will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Site or our services. Their total cumulative liability arising out of or related to your use of the Site (excluding paid client engagements, which are governed by their own services agreement) will not exceed one hundred United States dollars (US $100).
Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability, so some of the above limitations may not apply to you.
10. Indemnification
You agree to defend, indemnify, and hold harmless Wellbuilt Systems, Wellhaircare LLC, and their respective owners, officers, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your violation of these Terms or your misuse of the Site.
11. Termination
We may suspend or terminate your access to the Site at any time, with or without notice, for any reason, including violation of these Terms. Sections that by their nature should survive termination will survive, including ownership, disclaimers, limitation of liability, and governing law.
12. Governing law
These Terms are governed by the laws of the State of California, United States, without regard to its conflict of laws principles. Any dispute arising out of or related to these Terms or the Site will be brought exclusively in the state or federal courts located in Sacramento County, California, and you consent to the personal jurisdiction of those courts.
13. Changes to these Terms
We may update these Terms from time to time. The "Last updated" date at the top of this page reflects the most recent revision. Material changes will be highlighted on this page. Your continued use of the Site after a change becomes effective constitutes acceptance of the revised Terms.
